Fourth Lawsuit Emerges In Paramount-WBD Bid

A fourth lawsuit has now been launched against Paramount’s bid to acquire Warner Bros. Discovery following three other groups launching such attempts in the past week.

First it was a coalition of U.S. State Attorneys General, then the Writers Guild of America, and most recently a group of Paramount+ subscribers have filed lawsuits against David Ellison’s Paramount.

The latest one was filed by a Paramount shareholder on Tuesday in Delaware Chancery Court and names the Ellisons and other members of Paramount’s Board of Directors.

In it, it’s reportedly claimed that the Ellisons illegally made a deal with U.S. President Donald Trump to make sweeping changes at CNN in order to greenlight the acquisition.

The complaint states: “The Ellisons’ actions not only harm the reputations of the news outlets they currently own, which are hemorrhaging viewers, but they are latent liabilities waiting to be triggered by a future administration.”

The complaint cites alleged breaches of fiduciary duty that have created “enormous financial and legal risk” for Paramount as Congress and future administrations will likely investigate the studio, creating significant long-term legal exposure.
